Registered Agent Service Terms of Use

Thank you for choosing Brick & Mortar Legal PC for registered agent services. Please read these Terms of Use ("Terms") carefully as you agree that you consent to these Terms by your use of www.brickandmortarlegal.com/registered-agent-services (the “Site”) or any services provided in connection with the Site (the “Service”). You understand that these Terms may be revised from time to time and agree that you consent to any updated Terms by your continued use of our Site and products.

1. REGISTERED AGENT.

Brick & Mortar Legal PC (“BML, We”) is a registered 1505 corporation with the State of California.  This means that we are able to accept service of process on behalf of your company. 

2. ELIGIBLE USERS.

YOU AGREE THAT BY USING THE SERVICE YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD AND THAT YOU ARE LEGALLY ABLE TO ENTER INTO THIS AGREEMENT.

3. PRIVACY POLICY.

We respect your privacy and permit you to control the treatment of your personal information. A complete statement of BML’s current privacy policy can be found by clicking here. BML’s privacy policy is expressly incorporated into this Agreement by this reference.

4. ACCURATE INFORMATION.

It is very important that you provide us with accurate and up to date information so that we may provide you with high quality services. When you sign up for the Services, you are required to enter your company name, e-mail address, telephone number, primary contact name and mail forwarding address. It is extremely important that you use the exact company name that you have registered with the Secretary of State and that you accurately enter your e-mail and mail forwarding address. If your company is served at our office we will e-mail a copy to you and also forward the original complaint via certified mail to the exact address we have on file.  BML shall not be liable for any loss that you incur as a result of inaccurate information you provide us with. You may be held liable for any losses incurred by BML, its affiliates, officers, directors, employees, consultants, agents, and representatives due to inaccurate company, e-mail or mailing information.

5. NOTIFY US OF CHANGES TO COMPANY NAME, E-MAIL OR MAILING ADDRESS.

It is critical that you update the BML Registered Agent Site with any changes to your company name, e-mail or mail forwarding address.  We do not independently monitor changes to your company name, e-mail or address.  BML shall not be liable for any loss that you incur as a result of out-of-date information we have on file.  

6. NO ATTORNEY-CLIENT RELATIONSHIP.

Purchase of BML Registered Agent Services is not intended to and does not constitute an attorney-client relationship between you and BML. 

7. CANCELLATION POLICY:  

Note that all registered agent packages are non-refundable.  

8. ALLEGED VIOLATIONS.

BML reserves the right to terminate your use of the Service and/or the Site. To ensure that BML provides a high-quality services for you and for other users of the Site and the Service, you agree that BML or its representatives may access your account information. BML does not intend to disclose the existence or occurrence of such an investigation unless required by law, but BML reserves the right to terminate your account or your access to the Site immediately, with or without notice to you, and without liability to you, if BML believes that you have violated any of the Terms of Use, furnished BML with false or misleading information, or interfered with use of the Site or the Service by others.

9. NO WARRANTIES.

BML HEREBY DISCLAIMS ALL WARRANTIES. BML IS MAKING THE SERVICE AVAILABLE “AS IS” WITHOUT WARRANTY OF ANY KIND. YOU ASSUME THE RISK OF ANY AND ALL DAMAGE OR LOSS FROM USE OF, OR INABILITY TO USE, THE SITE OR THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BML EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE, AND SERVICE.

10. LIMITED LIABILITY.

To the fullest extent permitted by law, BML’s liability to you is strictly limited. In no event shall BML be liable for any damages of any kind—including but not limited to incidental, consequential, special, indirect, lost profits or lost data—arising out of or related to your use of the site or any services or materials provided by BML, regardless of whether such damages were foreseeable.

This limitation applies to all causes of action, whether based in contract, tort, negligence, strict liability or any other legal theory.

11. AFFILIATED SITES.

BML has no control over, and assumes no responsibility or liability for, any third-party websites, content or materials that may be linked to or accessible through our Site. We do not guarantee the accuracy, completeness, timeliness, legality or quality of any information provided by such third-party sites, and we are not responsible for any objectionable, misleading or unlawful content that may appear on them.

From time to time, you may access third-party content through our Site. Unless expressly stated otherwise, your use of any third-party content is governed by these Terms of Use, and BML makes no representations or warranties regarding such content.

13. GOVERNING LAW.

These Terms of Use shall be construed in accordance with and governed by the laws of the United States and the State of California, without reference to their rules regarding conflicts of law. You hereby irrevocably consent to the exclusive jurisdiction of the state or federal courts in San Francisco, California, USA in all disputes arising out of or related to the use of the Site or Service.

14. SEVERABILITY; WAIVER.

If, for whatever reason, a court of competent jurisdiction finds any term or condition in these Terms of Use to be unenforceable, all other terms and conditions will remain unaffected and in full force and effect. No waiver of any breach of any provision of these Terms of Use shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.

15. NO LICENSE.

Nothing contained on the Site should be understood as granting you a license to use any of the trademarks, service marks, or logos owned by BML or by any third party.

16. NAME OF REGISTERED AGENT.

The California Secretary of State's Office is quite particular and you must list Brick & Mortar Legal PC exactly as your registered agent. For example, if you just list Brick & Mortar Legal without the PC your filing might be rejected.

17. MODIFICATIONS.

BML may, in its sole discretion and without prior notice, (a) revise these Terms of Use; (b) modify the Site and/or the Service; and (c) discontinue the Site and/or Service at any time. BML shall post any revision to these Terms of Use to the Site, and the revision shall be effective immediately on such posting. You agree to review these Terms of Use and other online policies posted on the Site periodically to be aware of any revisions. You agree that, by continuing to use or access the Site following notice of any revision, you shall abide by any such revision.  This agreement constitutes the entire agreement between the parties

18. ACKNOWLEDGEMENT.

BY USING THE SERVICE OR ACCESSING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE AND AGREE TO BE BOUND BY THEM.
